Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the AI software and services (“Service”) provided by Law Captain Pty Ltd (ACN 686 353 113) (“Law Captain”, “we”, “us”, or “our”). These Terms form a binding contractual agreement between you, the user of the Service (“User”, “you”) and us.

For that reason these Terms are important and you should ensure that you read them carefully and contact us with any questions before you use the Service. You can contact us on help@lawcaptain.ai.

By accessing or using the Service, you acknowledge and agree that you have had sufficient chance to read and understand these Terms and you agree to be bound by them. If you do not agree to these Terms, you must not access or use the Service.

Licence to Use Service

Subject to your compliance with these Terms, Law Captain grants you a non-exclusive, worldwide, non-transferable, revocable licence to access and use the Service for your internal business purposes or personal use, as applicable, in accordance with the functionalities and limitations of the Service and as set out in this Agreement.

You may use the Service, including its features and any outputs generated by the Service (“Outputs”), in the normal course of its operation for the purposes permitted by these Terms.

You must not misuse the Service. For example, you must not:

  • input any data or content into the Service (“Input Data”) unless you hold all necessary rights, licences and consents to do so for use with the Service;
  • use the Service or Input Data in a way that would cause you or us to breach any law, regulation, rule, code or other legal obligation, including privacy laws;
  • input Input Data that is or could reasonably be considered to be obscene, inappropriate, defamatory, disparaging, indecent, seditious, offensive, pornographic, threatening, abusive, liable to incite racial hatred, discriminatory, blasphemous, in breach of confidence or in breach of privacy;
  • use the Service in a manner that would bring us, or the Service, into disrepute;
  • use the Service to infringe the intellectual property or other rights of any person;
  • attempt to reverse engineer, decompile, or otherwise discover the source code of the Service;
  • use the Service for any illegal purpose or in violation of any local, state, national, or international law, including Australian law.

You acknowledge and agree that:

  • we retain complete control over the features, functionality, and operation of the Service and may alter, amend, or cease the operation of the Service (or any part thereof) at any time in our sole discretion, subject to any specific service level agreements if applicable; and
  • the Service may not operate on a continuous, uninterrupted, or error-free basis, and may be unavailable from time to time (including for maintenance, upgrades, or due to unforeseen circumstances).

User Data and Ownership

As between you and Law Captain, you retain all ownership rights, title, and interest in and to your Input Data. We do not claim any ownership over your Input Data.

You grant Law Captain a limited, non-exclusive, royalty-free, worldwide licence to use, process, store, reproduce, and display your Input Data solely to the extent necessary to provide, maintain, and improve the Service for you, and as otherwise permitted by our Privacy Policy. This includes using Input Data to operate and support the Service, to troubleshoot issues, and for security purposes.

We will not train any AI models using your Input Data. We only work with large language model providers who give us contractual assurances that they will not train their models using your Input Data.

You are solely responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of all Input Data you provide to the Service. You represent and warrant that you have all necessary rights and consents to provide the Input Data to us for the purposes described in these Terms and our Privacy Policy.

Intellectual Property Rights in the Service

Nothing in these Terms constitutes a transfer of any intellectual property rights from us to you. You acknowledge and agree that, as between you and us, Law Captain owns all intellectual property rights in and to the Service, including its software, design, user interface, features, documentation, and any underlying technology (excluding your Input Data and any third-party components used with necessary licences).

You must not do anything that infringes our intellectual property rights in the Service. This includes copying, modifying, distributing, selling, or leasing any part of our Service or its included software, nor reverse engineering or attempting to extract the source code of that software, except as laws permit or with our written permission.

Warranties

You represent and warrant to us that:

  • you have the legal capacity to enter these Terms;
  • you will comply with your obligations under these Terms and all applicable laws, including Australian law, when using the Service; and
  • you have all necessary rights, licences, and consents to provide and use your Input Data in connection with the Service as contemplated by these Terms.

Information & Material Provided by the Service

The information, content, and Outputs provided by the Service are for general informational purposes only and should not be relied on as legal advice or as a substitute for professional legal advice tailored to your specific circumstances.

Use of the Service, including the generation or review of any Outputs, does not create a lawyer-client relationship between you and Law Captain Pty Ltd, or any other party. Law Captain Pty Ltd is not a law firm and does not provide legal advice.

While we strive to provide accurate and helpful information, we make no representation or warranty regarding:

  • the Service being free from viruses, errors, or other defects;
  • the accuracy, completeness, reliability, or timeliness of any information or Outputs generated by the Service;
  • the accuracy of information on any third-party websites or services that the Service may link to or integrate with; and
  • our endorsement, sponsorship, or approval of any information on such third-party websites or services.

Use of AI Features and Responsibility for Output

You acknowledge that any features within the Service that utilise artificial intelligence ("AI Features") may produce outputs that are inherently unpredictable, and may not always be accurate, complete, or fit for a particular purpose. AI models learn from vast amounts of data and their responses may not always reflect the most current, correct, or nuanced understanding of a topic, especially in complex or rapidly evolving areas like law.

It is your sole responsibility to critically review, verify, and validate any information, content, or advice generated by AI Features ("AI Output") before relying on or using such AI Output for any purpose, including but not limited to making legal, business, or personal decisions. This includes checking AI Output against primary sources of law and seeking independent professional advice where appropriate.

Law Captain Pty Ltd makes no warranties or representations regarding the accuracy, reliability, suitability, or completeness of any AI Output. To the fullest extent permitted by law, Law Captain Pty Ltd disclaims all liability for any loss or damage, including without limitation, indirect or consequential loss or damage, or any loss or damage whatsoever arising from loss of data or profits arising out of, or in connection with, the use of or reliance on any AI Output. Your use of AI Features and AI Output is at your own risk.

You agree to exercise your own judgment and, where appropriate, seek independent professional advice from a qualified legal practitioner or other relevant professional before acting on any AI Output, particularly in matters with legal implications.

Liability

To the full extent permitted by Australian Consumer Law and other relevant legislation, we exclude all liability in respect of loss of data, interruption of business, or any consequential or incidental damages arising from your use of the Service.

To the full extent permitted by law, we exclude all representations, warranties, or terms (whether express or implied) other than those expressly set out in these Terms. Our Service is provided "as is" and "as available" without any warranties of any kind.

These Terms are to be read subject to any legislation which prohibits or restricts the exclusion, restriction or modification of any implied warranties, conditions, guarantees or obligations. If such legislation applies, to the extent possible, Law Captain limits its liability in respect of any claim to, at our option:

  • in the case of goods (if applicable):
    • the replacement of the goods or the supply of equivalent goods; or
    • the repair of the goods; or
    • the payment of the cost of replacing the goods or of acquiring equivalent goods; or
    • the payment of having the goods repaired; and
  • in the case of services (which includes the provision of the Service):
    • the supply of the services again; or
    • the payment of the cost of having the services supplied again.

Termination

These Terms terminate automatically if, for any reason, we cease to operate or provide the Service.

We may otherwise terminate or suspend your access to the Service immediately, on notice to you, if you have breached these Terms in any way. Upon termination, your right to use the Service will cease, and you must cease all use of the Service.

Clauses relating to User Data and Ownership, Intellectual Property Rights in the Service, Warranties (your warranties), Liability, and General, and any other terms which by their nature should survive termination, will survive any termination of these Terms.

General

You must not assign, sub-licence or otherwise deal in any other way with any of your rights under these Terms without our prior written consent.

If a provision of these Terms is invalid or unenforceable it is to be read down or severed to the extent necessary without affecting the validity or enforceability of the remaining provisions.

Each party must at its own expense do everything reasonably necessary to give full effect to these Terms and the events contemplated by it.

These Terms will be governed by the laws of Western Australia and the parties agree that they will submit to the exclusive jurisdiction of the courts of Western Australia and courts entitled to hear appeals from those courts.

No variation or waiver of, or any consent to any departure by a party from a provision of this agreement is of any force or effect unless it is confirmed in writing signed by that party and then that variation, waiver or consent is effective only to the extent for which it may be made or given.

A rule of construction does not apply to the disadvantage of a party because the party was responsible for the preparation of these Terms or any part of it.

Headings are for reference purposes only and do not affect interpretation.

Any reference to a party to this document includes its successors and permitted assigns.
